Review of SAS Constitution and Bylaws

Affiliated Clubs,
Since the SAS AGM it has become clear that there is a need for the current SAS constitution, together with some by-laws, to be reviewed to bring it into line with current thinking.

Therefore, please find attached SAS Constitution Review Policy Document, which shall work to the following time frame.

  1. Clubs to submit their suggestions to their Regional SAS offices by close of business 15th September 2006.
  2. Regional SAS Exco's to have hosted a meeting of Clubs in their region, discussed, compiled and forwarded a draft document to SAS for submission to the National Constitution Committee by end of business 29th September 2006.
  3. National Constitution Committee to have considered and made suggestions on a draft reviewed constitution, and submitted this to Council for ratification by close of business 30th November 2006.
  4. SAS Council to ratify the document and SAS to distribute the document to the Regional Offices for discussion with clubs no later than 15 December 2006.
  5. Regional Exco's to have ratified the suggestions to the document and reverted to SAS no later than 31st January 2007.
  6. If document is finalized after step (5) above, a Special General Meeting shall be called in terms of Clause 7 of the existing Constitution, in order to table and accept the new revised constitution. Should this be the case, notices shall be sent out no later than 15th February 2007.
  7. Should the document not be finalized after step (5) above, a further 60 day period shall be made available for this, in which case, the new Constitution shall be tabled for acceptance at the 2007 Annual General Meeting of South African Sailing.
Whilst some bodies may have preferred a shorter lead time for this, Council believes the subject deserves proper attention and our members deserve due opportunity to consider and debate, and finally resolve the present issues relating to the existing Constitution.

Constitutional & Bylaw Changes

The administration of the SAS policy falls under the Finance and Administration Portfolio and the policy on changes to the Constitution and Bylaws is as follows:

  1. Within the specified time frame, specific points with suggested changes, together with the reasons therefore, are to be submitted to Regional EXCO's.
  2. The Regional EXCO's will consolidate any submissions and meet with the Clubs to confirm and finalise proposals.
  3. The regional proposals are then to be submitted to the National Constitution Committee, via SAS, for review.
  4. The Constitution Committee will formulate the suggested changes and forward to Council, with recommendations on the impact of the proposed changes.
  5. Council to ratify this process.
  6. The amended draft to be sent back to Regions together with the Constitutional Committee and Council recommendations.
  7. Regional EXCO's to meet again with Clubs to ratify changes.
  8. Regional EXCO and the process of 6 - 9 to be repreated.
  9. All supported changes to be included on the Agenda and voted on at the following AGM, or Special General Meeting called in accordance with the terms of Clause 17 of the Constitution.
